Terms of Service

Default Terms

These Terms of Service apply to apps, websites, portals, and internal tools designed, operated, or managed by Beckstar LLC that link to these terms (the "Services"). They are intended as default fallback terms.

If Beckstar LLC and a customer organization have a separate written agreement, statement of work, order form, contract, or app-specific terms, that separate agreement controls to the extent it conflicts with these terms.

Use of the Services

The Services are generally built for internal business, organizational, or client-requested use. Users may access and use the Services only as authorized by Beckstar LLC or the organization that provided access.

Users are responsible for keeping login credentials secure and for using the Services lawfully, respectfully, and in a way that does not interfere with the Services or other users.

Customer Content and Accounts

Organizations and users are responsible for the information, files, records, messages, and other content they submit to the Services. Beckstar LLC may access, process, or store that content only as needed to provide, support, secure, maintain, or improve the Services, or as otherwise allowed by an applicable agreement.

An organization that provides access to users is responsible for managing its own users, permissions, data, compliance obligations, and internal policies unless a separate written agreement says otherwise.

Fees

Fees, billing, subscriptions, payment timing, refunds, and cancellation terms are handled through the applicable invoice, subscription, statement of work, order form, or written agreement. If no separate payment terms apply, amounts owed to Beckstar LLC are due when invoiced.

Availability and Changes

Beckstar LLC may update, maintain, suspend, or discontinue any Service when reasonably necessary. We try to keep the Services reliable, but we do not promise uninterrupted availability, error-free operation, or that every requested feature will be supported forever.

No Warranties

To the extent permitted by law, the Services are provided "as is" and "as available." Beckstar LLC disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of Liability

To the extent permitted by law, Beckstar LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or replacement costs.

To the extent permitted by law, Beckstar LLC's total liability for any claim related to the Services is capped at the total amount actually paid to Beckstar LLC by the user or organization bringing the claim for the applicable Service, project, subscription, billing, or work giving rise to the claim. If no fees were paid to Beckstar LLC for that Service or work, Beckstar LLC's monetary liability is capped at $0.

Disputes and Arbitration

Before filing a formal claim, the parties agree to try in good faith to resolve any dispute informally.

To the extent permitted by law, any dispute, claim, or controversy arising out of or relating to the Services or these terms will be resolved by binding arbitration before a single neutral arbitrator. Arbitration will take place in Wake County, North Carolina, unless the parties agree to remote arbitration or another location. Claims must be brought on an individual basis, not as a class, collective, or representative action.

Either party may ask a court for temporary or emergency injunctive relief to protect confidential information, intellectual property, security, systems, or account access. Claims that cannot legally be arbitrated may be brought only in the state or federal courts located in Wake County, North Carolina, and each party consents to those courts.

Governing Law

These terms are governed by the laws of North Carolina, without regard to conflict-of-law rules. Arbitration agreements are also governed by applicable federal and North Carolina arbitration law.

Changes to These Terms

Beckstar LLC may update these terms from time to time by posting a new version. The updated terms apply going forward after they are posted or otherwise provided, unless a separate written agreement says otherwise.
